Aerostructures manufacturer Spirit Aerosystems has confirmed its shareholders have approved a takeover deal from Boeing Company as the OEM looks to secure its supply chain for Boeing aircraft sections.

The acquisition was approved by a special shareholders’ meeting where shareholders voted to approve the deal which is expected to be finalised by mid-2025.

“Our shareholder’s resounding approval today represents an important milestone in our carefully planned merger with Boeing,” said Irene Esteves, Spirit AeroSystems Chief Financial Officer. “As we continue executing our transition planning, we remain focused on Spirit’s foundational principles of safety, compliance and quality.”

Spirit Aerosystems manufactures fuselage sections, along with, engine nacelles and pylons along with wings and winglet parts for Boeing aircraft including the 737 Max and 787 Dreamliner range.

The deal covers Spirit Aerosystems US operation in Wichita, Kansas with the Northern Ireland area of the business, which makes parts for the AIrbus A220 range, already taken over by Airbus.

Boeing is committed to tightening controls on its supply chain to improve quality control and ensure the safe and secure delivery of its aircraft, particularly relating to the 737 Max products.

The Seattle-based OEM will also take comfort in the fact that Spirit Aerosystems has a “substantial” stock of 737 Max fuselages ready to go allowing it to ramp up production of the airliner as it recovers from production problems and last year’s strike by Boeing workers.

In 2024, Boeing delivered just 265 of the 737 Max and 348 aircraft in total.
